Support and Maintenance

Technical support is available to users with an active support and maintenance contract. Annual maintenance contracts are 22% of the original SRP. New purchases include 30 days of complimentary support.

Phone support covers the current release plus one release back. Support covers up to two designated contacts per organization; additional contacts are available for an additional fee.
 

Support does not include customization of templates, custom filters, or configurations made by the customer or third-party consultants. Such work is billed at the current hourly rate. Liaison Software Corporation may require prepayment before modifications are completed.
 

Remote installation, re-installation, consultation, and training are available and billable at the current hourly rate. All remote installations must be scheduled with the Technical Support Department.

END USER LICENSE AGREEMENT (EULA)

All Liaison Software Products — On-Premises and SaaS

Effective Date: March 2026 | Version 2.0
 

​​​​1. Definitions

"Liaison" or "Company" means Liaison Software Corporation, a California corporation.
 

"Software" means all software products, extensions, applications, modules, and services that bear the Liaison brand name or trademark, including but not limited to:
 

    •  Liaison Messenger(R) and Liaison Messenger EDD (on-premises document delivery and messaging software)

    •  Liaison Central (Business Central base dependency extension)

    •  Liaison Courier (Business Central document delivery and scheduling extension)

    •  Liaison Contact Manager (Business Central contact relationship management extension)

    •  Liaison Messenger SaaS (cloud-hosted messaging and document delivery service)

    •  Any future software products, modules, or services released under the Liaison brand name
 

"On-Premises Software" means Liaison software installed and operated on hardware owned or controlled by the Licensee.


"SaaS Product" means any Liaison software product delivered as a hosted cloud service, including Liaison Messenger SaaS.


"AppSource Product" means any Liaison software product distributed through the Microsoft AppSource marketplace, including Liaison Central, Liaison Courier, and Liaison Contact Manager.


"You" or "Licensee" means the individual or legal entity that has agreed to this license.


"Subscription" means a time-limited license to use the Software, paid on a per-user or per-period basis as specified in your order.

2. Trademarks and Intellectual Property

The following trademarks are the registered property of Liaison Software Corporation:
 

    •  LIAISON MESSENGER(R) - United States Trademark Registration No. 3135590, Class 9, registered August 29, 2006.

    •  MESSENGER(R) - United States Trademark Registration No. 3132649, registered August 22, 2006.

    •  LIAISON MESSENGER EDD and LIAISON MESSENGER EDD (Logo) - registered trademarks of Liaison Software 
       Corporation.

    •  "Liaison" as applied to software products bearing the Liaison brand name.
 

All trademarks, trade names, service marks, logos, and brand names used in connection with the Software are the exclusive property of Liaison Software Corporation. Nothing in this Agreement grants you any right to use any Liaison trademark, trade name, or logo without the prior written consent of Liaison Software Corporation.
 

Liaison Software Corporation retains all right, title, and interest in and to the Software, including all patents, copyrights, trademarks, trade secrets, software architecture, coding methodology, and other intellectual property rights. The Software is licensed, not sold.
 

You agree not to remove or alter any intellectual property or trademark notices associated with the Software.
 

You agree not to de-compile, reverse engineer, or otherwise attempt to derive the source code for the Software, except to the extent expressly permitted by applicable law.
 

You agree not to use the Software or any Liaison intellectual property to develop a product which may compete with Liaison Software Corporation or its products.

 

3. License Grant

3.1 On-Premises Software

Subject to the terms of this Agreement and payment of applicable fees, Liaison Software Corporation grants you a limited, non-exclusive, non-transferable license to install and use the On-Premises Software on your hardware solely for your internal business purposes, in the country for which the Software was acquired.


Single-user licenses permit use on one machine at any one time. Multi-user licenses permit use on one server at any one time. Wide Area Network (WAN) or multi-server deployments require a WAN license.
 

3.2 SaaS Products

Subject to the terms of this Agreement and payment of applicable Subscription fees, Liaison Software Corporation grants you a limited, non-exclusive, non-transferable right to access and use the SaaS Product through its designated cloud interface during the Subscription term.
 

3.3 AppSource Products

Subject to the terms of this Agreement and payment of applicable fees, Liaison Software Corporation grants you a limited, non-exclusive, non-transferable license to install and use AppSource Products within your licensed Microsoft Dynamics 365 Business Central environment. Liaison Central is provided free of charge as a required base dependency and may not be used as a standalone product.
 

3.4 Backup

You may make copies of the On-Premises Software solely for backup and archival purposes.

4. License Restrictions

You may not:

•  Use, copy, modify, merge, or transfer copies of the Software except as expressly permitted in this Agreement.

•  Reverse assemble, reverse compile, decompile, or otherwise attempt to derive the source code of the Software.

•  Sublicense, rent, lease, lend, or assign the Software or any rights therein to any third party.

•  Remove or alter any proprietary, trademark, or copyright notices associated with the Software.

•  Use the Software to develop a competing product.

•  Share login credentials or subscription access across more users than licensed.

•  Resell, redistribute, or make the Software available to third parties without prior written authorization from Liaison Software Corporation.

•  Use any Liaison trademark, brand name, or logo without prior written consent.

5. SaaS-Specific Terms

The following additional terms apply to all Liaison SaaS Products:
 

5.1 Service Availability

Liaison Software Corporation will use commercially reasonable efforts to make SaaS Products available 99.5% of the time in any given calendar month, excluding scheduled maintenance windows communicated in advance.
 

5.2 Data Ownership

You retain ownership of all data you submit to any Liaison SaaS Product. Liaison Software Corporation will not access, use, or disclose your data except as required to provide the service or as required by law. Liaison Software Corporation will maintain commercially reasonable security measures to protect your data.
 

5.3 Subscription and Billing

SaaS Products are provided on a subscription basis. Fees are billed in advance on a monthly or annual basis as selected at time of purchase. Subscriptions automatically renew unless canceled in writing at least 30 days prior to the renewal date. No pro-rated refunds are provided for mid-term cancellations.
 

5.4 Service Termination

Upon termination of a SaaS subscription, your access will be disabled. You will have 30 days to export your data. After 30 days, Liaison Software Corporation may delete your data without further obligation.

 

6. Microsoft AppSource Marketplace Terms

When Software is obtained through Microsoft AppSource, the following additional terms apply:


    •  Purchase and subscription management is handled by Microsoft Corporation through AppSource. Liaison Software
       Corporation is the publisher and software provider; Microsoft acts as the transaction processor.

    •  Refund requests for AppSource purchases are governed by Microsoft's marketplace refund policies.

    •  Microsoft may collect and process data as part of the AppSource transaction process, subject to Microsoft's privacy policy.

    •  This Agreement governs your use of the Software itself; Microsoft's terms govern the marketplace transaction.

7. Limited Warranty

Liaison Software Corporation warrants that the Software will perform materially in accordance with its documentation for a period of 90 days from the date of initial installation or activation ("Warranty Period").


For On-Premises Software, all programs have a 30-day limited warranty on their media commencing from the date of purchase.


EXCEPT FOR THE EXPRESS WARRANTIES PROVIDED ABOVE, THE SOFTWARE IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY OR OTHERWISE. LIAISON SOFTWARE CORPORATION SPECIFICALLY DISCLAIMS ANY IMPLIED WARRANTY OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.


Some jurisdictions do not allow the exclusion of implied warranties, so the above exclusion may not apply to you.

8. Limitation of Liability

Liaison Software Corporation's entire liability to you for any loss or damage resulting from any claims, demands, or actions arising out of this Agreement shall not exceed the greater of: (a) the annual maintenance and support fee paid to Liaison for the Software, or (b) the fees paid by you for the Software in the twelve (12) months preceding the claim.
 

IN NO EVENT SHALL LIAISON SOFTWARE CORPORATION OR ITS SUPPLIERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR EXEMPLARY DAMAGES WHATSOEVER (INCLUDING, WITHOUT LIMITATION, DAMAGES FOR LOSS OF BUSINESS PROFITS, BUSINESS INTERRUPTION, LOSS OF BUSINESS INFORMATION, OR OTHER PECUNIARY LOSS) ARISING OUT OF THE USE OR INABILITY TO USE THE SOFTWARE OR THE PERFORMANCE OR FAILURE TO PERFORM SUPPORT SERVICES, EVEN IF LIAISON SOFTWARE CORPORATION HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
 

Some states do not allow the limitation or exclusion of liability for incidental or consequential damages, so the above limitation or exclusion may not apply to you.

10. Term and Termination

This Agreement is effective upon your acceptance and continues until terminated.
 

You may terminate this Agreement at any time by uninstalling the Software and destroying all copies.

Liaison Software Corporation may terminate this Agreement immediately upon written notice if you breach any material term. Upon termination, you must destroy all copies of the Software in your possession.

 

For subscription-based and SaaS products: your license continues for the duration of your active paid subscription. Subscriptions may be renewed monthly or successive one-year periods. Written cancellation notice must be received at least 60 days prior to the expiration date to prevent automatic renewal.

 

If you allow your maintenance and support plan to lapse and desire to resume, a reinstatement fee for lapsed coverage will apply. No pro-rated refunds are provided upon cancellation during an active term.

11. General Provisions

This Agreement constitutes the entire agreement between you and Liaison Software Corporation with respect to the Software and supersedes all prior or contemporaneous agreements, representations, or understandings.
 

If any provision of this Agreement is found to be invalid or unenforceable, the remaining provisions will continue in full force and effect.
 

Neither party may bring an action, regardless of form, more than two (2) years after the cause of action arose.


You may not sublicense, assign, or transfer this Agreement or any rights hereunder without prior written consent from Liaison Software Corporation. Any attempt to do so is null and void.


You are responsible for payment of any taxes resulting from this license.


This Agreement is for one plan, per registered user, for all registered modules. If use of a specific licensed module is discontinued, written notice must be provided on company letterhead, signed by an officer, prior to the commencement of the next subscription period.

12. Governing Law

If you acquired the Software in the United States, this Agreement is governed by the laws of the State of California, without regard to its conflict of law provisions. Any disputes arising under this Agreement shall be subject to the exclusive jurisdiction of the courts located in Orange County, California.
 

If you acquired the Software in Canada, the laws of the Province of Ontario govern this license.


If you acquired the Software in Australia, New Zealand, Hong Kong, Singapore, or the United Kingdom, this Agreement is governed by the laws of New South Wales, New Zealand, Hong Kong, Singapore, or England, respectively.


For all other jurisdictions, this Agreement is governed by the laws of the country in which you acquired the Software.

IMPORTANT - READ CAREFULLY: This End User License Agreement ("Agreement") is a legal agreement between you (either an individual or a single entity) and Liaison Software Corporation for all software products, services, and applications that bear the "Liaison" brand name or trademark, whether delivered as on-premises software or as Software as a Service (SaaS). By installing, copying, activating, or otherwise using any Liaison software product, you agree to be bound by the terms of this Agreement. If you do not agree, do not install or use the software.
